SPACSphere and Mobilewalla File Form S-4 with the SEC
On August 12, 2026, SPACSphere Acquisition Corp. (NASDAQ: SSAC) and Mobilewalla Holdco, Inc. publicly filed a registration statement on Form S-4 with the U.S. Securities and Exchange Commission. The filing includes a preliminary proxy statement and prospectus for the proposed business combination the two companies announced earlier this year.
The filing moves the transaction toward completion, after which Mobilewalla is expected to become a publicly traded company. Upon closing, the combined company is expected to operate as Covariate, Inc., with shares expected to trade on Nasdaq or another U.S. national exchange.
The transaction remains subject to shareholder approval from both companies, the Registration Statement being declared effective by the SEC, and other customary closing conditions. It is expected to close in the second half of 2026.
